Terms of Service

By using the Semitracks, Inc. Learning Management System (LMS), you are agreeing to be bound by the following terms and conditions ("Terms and Conditions of Use").

Semitracks, Inc. reserves the right to update and change the Terms and Conditions of Use from time to time, and will give users 90 days-notice before the changes go into effect. You can review the most current version of the Terms and Conditions of Use at any time at: https://www.semitracks.com/learning-management/terms-of-service.php

Any new features that augment or enhance the current LMS, including the release of new tools and resources, shall be subject to the Terms and Conditions of Use. Users will be given 30 days-notice before the new features are implemented.

Continued use of the LMS after any such changes shall constitute your consent to such changes. If Semitracks, Inc. decides to discontinue providing the LMS as a service, Semitracks, Inc. will give users 90 days-notice.

Violation of any of the Terms below will result in the termination of your Account.

Account Terms

  • You must provide your full legal name, a valid e-mail address, and any other information requested in order to complete the signup process.
  • Your login may only be used by you -- a single login shared by multiple people is not permitted.
  • You are responsible for maintaining the security of your account and password. Semitracks, Inc. cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  • You are responsible for all content posted and activity that occurs under your account.
  • Semitracks, Inc. is not responsible for damages or injury resulting from the application of the training materials.
  • You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the training materials without the express written permission by Semitracks, Inc.
  • Semitracks, Inc., in its sole discretion, has the right to suspend your account for breach of the Terms and Conditions of Use.
  • You may not use the LMS for any illegal or unauthorized purpose. You must not, in the use of the LMS, violate any laws in your jurisdiction (including but not limited to copyright laws).

Payment, Refunds, Upgrading and Downgrading Terms

  • Online Training Accounts on the LMS are to be paid for before activation and are non-refundable. In order to treat everyone equally, no exceptions will be made.
  • All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.

Cancellation and Termination

  • You are solely responsible for properly canceling your account by notifying Semitracks, Inc. by sending an e-mail to info@semitracks.com.
  • All of your content and reporting data will be immediately deleted from the LMS upon cancellation. This information cannot be recovered once your account is cancelled.
  • If you cancel your account on the LMS before the end of your current paid term, your cancellation will take effect immediately, you will not be charged again, and the remaining amount paid is non-refundable.
  • Semitracks, Inc., in its sole discretion, has the right to suspend your account for breach of the Terms and Conditions of Use.

Modifications to the LMS and Prices

  • The price of an Account is good for one year and will be reviewed annually. Semitracks, Inc. shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Semitracks, Inc. LMS.

Copyright and Content Ownership

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the LMS, its content, use of the LMS, or access to the LMS without the express written permission by Semitracks, Inc.

Artificial Intelligence (AI) Use on the LMS Platforms

  • Semitracks, Inc. has implemented AI features on its Online Training System LMS using the Gemini 2.0 Flash Lite model. This chatbot provides conversational support for subject matter questions, course recommendations, learning plan suggestions, and identifying which courses or presentations cover specific topics. It is separate from the core LMS functionality and does not have the capability of "crawling" data within the Online Training LMS database. It was designed with privacy and proprietary content in mind. Conversation history is disabled, sessions are time limited, and topic-based responses are grounded entirely in our custom datastore rather than live web results. This approach significantly reduces hallucinations and helps ensure accurate, factual answers.

General Conditions

  • Your use of the LMS is at your sole risk. The LMS is provided on an "as is" and "as available" basis.
  • Semitracks, Inc. servers are backed up daily.
  • Technical support is only provided to account holders in good standing and is available via email to support@semitracks.com
  • You must not modify, adapt or hack the LMS or modify another website so as to falsely imply that it is associated with the LMS, Semitracks, Inc., or any other Semitracks, Inc. service.
  • You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the LMS, use of the LMS, or access to the LMS without the express written permission by Semitracks, Inc.
  • We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable or violates any party's intellectual property or these Terms and Conditions of Use.
  • Verbal, physical, written or other abuse (including threats of abuse or retribution) of any Semitracks, Inc. customer, employee, member, or officer will result in immediate account termination.
  • While Semitracks, Inc. prohibits such conduct and content on the LMS, you understand and agree that Semitracks, Inc. is not responsible for the content posted on the LMS and you, nonetheless, may be exposed to such materials. You agree to use the LMS at your own risk.
  • You understand that the technical processing and transmission of the LMS, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  • You must not upload, post, host, or transmit unsolicited email, SMS, or "spam" messages.
  • You must not transmit any worms or viruses or any code of a destructive nature.
  • If your bandwidth usage significantly exceeds the average bandwidth usage (as determined solely by Semitracks, Inc.) of other Semitracks, Inc. online customers, we reserve the right to immediately disable your account or throttle your account until you can reduce your bandwidth consumption.
  • Semitracks, Inc. does not warrant that (i) the LMS will meet your specific requirements, (ii) the LMS will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the LMS will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the LMS will meet your expectations, and (v) any errors in the LMS will be corrected.
  • You expressly understand and agree that Semitracks, Inc. shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if Semitracks, Inc. has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the LMS; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or services purchased or obtained or messages received or transactions entered into through or from the LMS; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the LMS; (v) or any other matter relating to the LMS.
  • The failure of Semitracks, Inc. to exercise or enforce any right or provision of the Terms and Conditions of Use shall not constitute a waiver of such right or provision. The Terms and Conditions of Use constitutes the entire agreement between you and Semitracks, Inc. and govern your use of the LMS, superseding any prior agreements between you and Semitracks, Inc. (including, but not limited to, any prior versions of the Terms and Conditions of Use).
